Condition/Context for Evaluation Our audit testing of procurement transactions included one procurement out of one tested that did not include adequate documentation to support that Impact Charitable had verified that the third party was not listed as suspended or debarred by the U.S. Government. Impact Charitable did perform the search and verified that that third party was neither listed as suspended or debarred by the U.S. Government subsequent to the year under audit. Effect or Potential Effect The effect is that covered transactions could be entered into with parties that are either suspended or debarred. Questioned Costs Not Applicable Cause Impact Charitable did not follow their documented procurement policy over suspension and debarment to ensure that verification was performed and documented to confirm that third parties were not listed as suspended or debarred by the U.S. Government when entering into covered transactions. Repeat Finding Finding 2022-001 is not a repeat finding. Recommendation We recommend that Impact Charitable implement the necessary internal controls to ensure that the documented policy over suspension and debarment is followed. Corrective action planned: Impact Charitable performed a search on the System for Award Management (SAM) in 2023 for the procurement tested in the 2022 audit, and verified that the vendor was not suspended or debarred. Impact Charitable staff will follow its policy of awarding purchases to vendors and contractors only after staff have confirmed that the vendor is not listed on the government wide exclusions in the System for Award Management (SAM). Impact Charitable staff will keep records that this process was undertaken. Anticipated completion date: December 31, 2023

Assistance Listing No. 21.019 Recommendation: Impact Charitable should finalize written policies, procedures, and standards of conduct relative to federal awards. Personnel with federal award compliance responsibilities should receive the written policies, procedures, and standards of conduct and be trained on their responsibilities. Action Taken: Impact Charitable management has identified missing policies and procedures with respect to internal controls over federal award compliance, and drafted such policies for review and approval by Impact Charitable?s Board of Directors. Management has written and delivered curriculum for internal policy compliance training. Three training sessions on internal policies have been held among Impact Charitable staff during 2022. Anticipated Completion: Management anticipates the Board of Directors will approve new policies by December 31, 2022. Management anticipates administering at least one more training session to complete internal policy training by December 31, 2022.

Action Taken: Impact Charitable engaged a consultant to augment Impact Charitable?s draft Financial and Accounting policies with additional internal control policies that complied with Uniform Guidance. According to 2 CFR 200.405, a cost is allocable to a particular federal award or other cost objective if the goods or services involved are chargeable or assignable to that federal award or cost objective in accordance with relative benefits received. Information on the Federal Program: Department of Treasury, Assistance Listing No. 21.019, 2020, Coronavirus Relief Fund, Passed through from the State of Colorado of Local Affairs Division of Housing and City and County of Denver Auditor Recommendation: Wegner recommends that the indirect costs charged to the grant are allocated based on time and effort and a timely review of the allocation is performed prior to submitting the expenses for reimbursement. Action Taken: Staff time spent on any Federal Program is tracked on timesheets approved by the Executive Director. The cost of the staff time is calculated based on the percentage of time spent on the Federal Program, and multiplied by the monthly compensation. This cost is charged to the grant by entering the expense on the segregated fund Impact Charitable maintains for the Federal Program in Impact Charitable?s Accounting system.
